Compare cash runway, role mandate and uncertain upside separately.
Goal and context
Compare cash runway, role mandate and uncertain upside separately.

What, when, why and how
Cash floor and upside
- what
- Recurring cash funds current needs; private equity is uncertain potential value.
- when
- A startup offers less cash and a large equity headline.
- why
- A hypothetical future exit cannot be treated as a dependable salary replacement.
- how
- Build a cash-only case and separate upside scenarios. Ask about runway, business assumptions and award terms without assuming access to confidential information.
Example: A zero-equity-liquidity scenario can reveal whether the salary alone is workable.
Ownership context
- what
- Unit count alone does not state percentage ownership or future proceeds.
- when
- Assessing an option grant.
- why
- Dilution, exercise cost, preferences and share classes can change economics.
- how
- Ask for an understandable explanation of the grant, relevant capitalization context if available, and plan terms. Do not infer employee proceeds from the last funding headline.
Example: A grant of 10,000 units says little without the instrument, denominator, price and restrictions.
Mandate and operating risk
- what
- Early-stage scope can offer learning and influence along with ambiguity and concentration.
- when
- Comparing unlike organizations.
- why
- Prestige, title or apparent upside can hide weak support for the work you are expected to do.
- how
- Ask who sponsors the role, what resources exist, how success is measured and what happens if plans change. Compare job content with your priorities separately from financial arithmetic.
Example: A Staff title at a small startup may include extensive implementation and operational work as well as technical direction.
Worked example
Startup A offers lower base plus private options; established B offers higher base plus public awards. Build separate cash and conditional value cases, then compare mandate and risk instead of calling the equity values equivalent.
Conversation example
I am interested in the scope and would like to understand both the cash package and the equity terms. Could we discuss the award instrument, vesting/exercise terms, any available ownership context and the resources supporting this role?
Replace bracketed placeholders with truthful details. Review any draft yourself before choosing whether and how to communicate it.
Mistakes and follow-ups
- Assume an exit, refresh or liquidity event on a particular date.
- Compare private options with public shares as if both were cash.
- Use a title alone to infer resources or authority.
Engineer: Can I put private equity in the comparison tool?
Only as an explicitly uncertain scenario; never as liquid or guaranteed cash.
Senior: What if ownership context is unavailable?
Keep uncertainty explicit and avoid filling it with a confident valuation.
Staff: What role diligence matters?
Sponsor commitment, business priorities, team capacity, decision rights and what success or failure looks like.
Practice and self-review
List ten startup equity/role questions and classify which affect cash, upside or mandate.
Reveal worked answer guidance
Keep unanswered terms visible. A scenario worksheet supports discussion but cannot establish a fair valuation or predict an exit.
Check your response for accurate units, real evidence, a prioritized ask, a genuine alternative and a clear next step.
