Goal and context

What, when, why and how

Instrument and ownership

what
An RSU, an option and a cash-settled award have different rights and conditions.
when
An offer includes equity or a locally named ESOP.
why
A grant value alone does not explain whether you receive stock, a right to buy it or conditional cash.
how
Ask for instrument, units, grant approval process, valuation basis and governing plan. For options, ask exercise price, expiry and post-employment exercise terms.

Example: An option with exercise price 10 is not 10 of cash compensation; acquiring shares requires exercise and may create costs.

Vesting and timing

what
Vesting defines when service/performance conditions may be satisfied; sale/liquidity is a separate question.
when
Comparing uneven schedules or an initial cliff.
why
Dividing every grant by four can overstate early realizable value.
how
List actual annual vest quantities and conditions. Model no assumed refreshers. Ask about leaving before a cliff and grant approval delays.

Example: A 10/20/30/40 schedule has a different first-year profile from 25/25/25/25 even with the same headline value.

Liquidity and uncertainty

what
Private securities can be difficult to sell and equity prices can change.
when
Using equity to close a cash gap.
why
A hypothetical valuation does not pay expenses or guarantee an exit.
how
Keep private option upside outside the liquid-pay floor. Ask about transfer restrictions, dilution, sale opportunities and departure terms. Obtain jurisdiction-specific tax advice for actual decisions; this lesson does not calculate tax.

Example: A private-company last-round valuation is not automatically the amount employees can receive for their own class of shares.

Worked example

An illustrative 80,000-unit grant vests 20,000 units per full service year. Multiplying by an assumed future price produces a scenario, not a guaranteed payout. A private option scenario additionally needs exercise cost, liquidity and share-class information.

Conversation example

Could you share the award type, unit count, vesting schedule and relevant plan terms? For options, I would also like to understand the exercise price and departure window; for private equity, what liquidity or transfer restrictions apply?

Replace bracketed placeholders with truthful details. Review any draft yourself before choosing whether and how to communicate it.

Mistakes and follow-ups

  • Treat vested private options as immediately spendable cash.
  • Use a funding valuation as a guaranteed employee sale price.
  • Assume leaving, tax and exercise conditions are the same everywhere.
Engineer: Is vested the same as cash?

No. Ownership/settlement, sale ability and actual proceeds depend on the instrument and terms.

Senior: How should I compare refreshers?

Treat ungranted future refreshers separately from the initial written award.

Staff: What additional risk can matter?

Concentration, dilution, share-class economics, liquidity and the role’s ability to influence outcomes; none creates a guaranteed valuation.

Practice and self-review

Create an equity question sheet and a downside scenario with zero realizable equity.

Reveal worked answer guidance

Identify instrument, units, price assumptions, vesting, exercise and liquidity. Do not label a single speculative value as guaranteed compensation.

Check your response for accurate units, real evidence, a prioritized ask, a genuine alternative and a clear next step.
